The company value at exit is not a result of the sales process but the outcome of targeted, early preparation. Without a structured exit-readiness strategy, central value drivers remain untapped and potential valuation discounts only become visible during the due diligence process. FOSTEC & Company therefore understands exit readiness as a proactive, value-oriented management approach that aims to optimise company valuation, negotiating position and process certainty systematically, long before the actual sales process.

Context and relevance

The demands placed on companies in transaction processes have risen significantly: buyers increasingly draw on standardised due diligence methodologies, detailed benchmarks and data-based valuation models. At the same time, new value dimensions are gaining importance, particularly digital maturity, data availability and AI-supported scalability. Companies that do not actively manage their positioning run the risk of revealing structural weaknesses only during the examination process and thereby accepting valuation discounts. Exit readiness addresses precisely this risk by identifying potential weaknesses early, activating value levers systematically and consistently aligning the entire organisation with the requirements of potential buyers.

Our approach

FOSTEC & Company pursues a consistently proactive approach, in which exit readiness is integrated as an ongoing element of portfolio management (Figure 1: Exit readiness – the FOSTEC & Company process in four phases). The process is divided into four phases:

  1. Exit-readiness assessment (diagnosis)
The assessment examines how well the company meets the expectations of potential buyers. It shows where current performance deviates from standard market valuation benchmarks, which operational, regulatory or technological risks could arise during the examination process, and which short-term and structural improvements are still possible before the process begins. In addition, it assesses how strongly digital maturity and data-driven capabilities contribute to future value creation. This early diagnosis enables management to remedy weaknesses in a targeted way, rather than having to explain them during the sales process.
  2. Equity story and financial fact base
On the basis of the analysis, a coherent and robust equity story is created that clearly sets out both the progress achieved during the holding period and the remaining potential for the next owner. The reasoning is supported by measurable earnings improvements, a transparent pipeline of value levers and a sound risk assessment. Each statement is underpinned by a detailed EBITDA bridge, benchmarks and traceable causalities. Finally, a detailed financial fact base ensures that all statements withstand demanding buyer scrutiny.
  3. Vendor due diligence preparation
The vendor due diligence preparation aligns the entire process consistently with the perspective of potential buyers. This includes a fully structured data room that maps relevant information logically and completely, as well as the early mitigation of possible weaknesses. In addition, a clear and convincing management presentation is created that conveys the value creation and future potential precisely.
  4. Exit optimisation
Support for exit optimisation comprises the buyer-approach strategy, the assessment of dual-track scenarios (trade sale vs. IPO) and negotiation support in the final phase of the process. The overall process is designed to secure the seller full control over timing, key messages and valuation.

Results & impact

Clients begin the sales process with a clearly strengthened negotiating position, as they have a convincing equity story, forward-looking preparation and clear positioning towards potential buyers. This increases both the achievable company value and the certainty within the process, so that the exit can be shaped on the seller’s own terms. Experience from comparable transactions also shows that well-prepared exits achieve significantly higher multiples and are completed more quickly.

A strong exit story presupposes that measurable value was created during the holding period. This is where FOSTEC & Company’s Strategy and Portfolio Value Creation module comes in. From closing onwards, it defines growth levers, efficiency programmes and digital initiatives that later form the basis of the exit story.
