Companies no longer compete through products and markets alone, but increasingly through capabilities, talent availability and organisational performance. Skills shortages, new working models and the increasing use of AI applications are structurally changing job profiles, skill requirements and productivity logic. A methodologically sound Organisation & Talent Due Diligence creates transparency as to whether a target has the structures, competencies and capacities to implement its growth strategy sustainably – and identifies critical risks early across organisation, talent base and change capability.

Context and relevance

Organisational performance is an increasingly decisive value driver in the transaction context. Competency gaps in strategically relevant areas or insufficient willingness to change can jeopardise the implementation of growth strategies and post-merger integrations just as much as structural operational weaknesses. At the same time, the increasing penetration of AI applications raises the demands on an organisation’s ability to transform: AI readiness and digital competencies are becoming measurable assessment parameters.

Our approach

Along a five-stage approach (Figure 1: Organisation & Talent Due Diligence project approach), FOSTEC & Company assesses the target’s organisation, processes, competencies and willingness to change – analytically sound and geared towards investment relevance.

  1. Organisational and leadership structure
  • Analysis of the organisational and leadership structure with regard to decision-making paths, governance and scalability
  • Systematic key-person risk assessment, including evaluation of leadership competencies, role dependencies and decision-making structures, and the derivation of an organisational culture score and retention risk profile
  1. HR processes and people development
  • Assessment of central HR processes (recruiting, onboarding, retention) as well as the maturity of the HR systems in use and the degree of automation
  • Analysis of the talent-development logic, including the use of AI-based tools for skills mapping, and assessment of the effectiveness of upskilling and development programmes
  1. Competencies and qualifications
  • Structured analysis of the skills portfolio against future strategic requirements
  • Creation of a talent heatmap to identify skill gaps – particularly in the areas of AI and digital skills – as well as availabilities and the scalability of the organisation
  1. Personnel costs and remuneration systems
  • Analysis of the personnel cost structure, including fixed/variable distribution and efficiency metrics
  • Assessment of remuneration and incentive systems with regard to performance incentives, retention effect and market comparison
  1. Synergy potential and willingness to change
  • Identification of HR-related synergy potential in the post-merger context
  • Assessment of change readiness, integration capability and potential cultural risks in the context of the transaction

Results and impact

Clients receive a structured, data-based assessment of the target’s organisational performance. The analysis provides transparency on key-person risks, competency gaps and retention risks, a robust judgement of the maturity of the organisation and HR processes, and a well-founded assessment of cost structures and incentive logic. In addition, the target’s transformation and AI readiness is classified – as an indicator of the ability to implement growth strategies operationally and to shape post-merger integrations successfully.

For PE investors, the Organisation & Talent Due Diligence thereby becomes a central instrument of risk identification and value-enhancement planning: it closes an analytical gap that purely commercial or technological examinations do not cover, and provides the basis for a well-founded assessment of the organisational value-creation potential.
